IDEALS ELECTRONIC SIGNATURE TERMS OF USE

1. Introduction
These Ideals Electronic Signature Specific Terms of Use (“Terms”) govern the use of the simple electronic signature functionality (“Simple Electronic Signature” or “Signature Feature”) available within the Ideals Virtual Data Room (“VDR”) platform. The Signature Feature enables clients and their authorized end users to electronically sign documents by manually drawing their signature within the VDR interface.
These Terms supplement and form an integral part of the Ideals Terms and Conditions of Service (“General Terms”) located at https://www.idealsvdr.com/terms-and-conditions/ and Privacy Policy located at https://www.idealsvdr.com/privacy/. By using the Signature Feature, clients and users agree to be bound by these Terms, the General Terms, and the Privacy Policy.
2. Definition
For the purposes of these Terms, a Simple Electronic Signature refers to a manually drawn signature captured electronically using a mouse, touchpad, touchscreen, or similar input method. This type of signature qualifies as a basic electronic signature under applicable laws (for example, Article 3(10) of Regulation (EU) No 910/2014 on electronic identification and trust services, or “eIDAS”), and does not include mechanisms for identity verification, advanced cryptographic security, or biometric authentication.
3. Scope of Applicability
The Platform provides functionality that enables Clients and authorized Users to electronically sign documents within the VDR. By using this functionality, each signing party acknowledges and agrees that such electronic signatures are intended to have the same legal effect and enforceability as handwritten signatures, to the extent permitted by applicable electronic signature laws and regulations.
Ideals acts solely as a technical service provider and custodian of the signed documents, ensuring the immutability and storage integrity of signature records within the Platform. Ideals does not authenticate the identity of signatories, verify their authority to sign, or determine the legal validity, enforceability, or consequences of any document signed through the VDR.
Accordingly, Ideals shall not be liable for:
(a) the legal effectiveness or enforceability of any electronically signed document;
(b) the performance or non-performance by any party to such document; or
(c) any disputes arising from the use, interpretation, or reliance upon electronically signed documents.
Clients are solely responsible for evaluating the suitability of the Signature Feature for their intended purposes and for ensuring compliance with all applicable laws and regulations in the relevant jurisdictions.
4. Data Processing
The Signature Feature captures only the visual representation of the manually drawn signature submitted by the user during document signing. Ideals does not collect, process, or store biometric data, identity verification data, or any additional personal data beyond what is already governed by the Privacy Policy. Signature images and signed documents are securely stored within the VDR in accordance with the data retention and storage provisions set out in the General Terms.
5. User Responsibilities and Legal Considerations
Clients and end users acknowledge and accept that the Simple Electronic Signature is a basic form of electronic signature without verification or authentication features. Users are solely responsible for determining the legal validity and enforceability of documents executed using the Signature Feature in accordance with applicable laws and regulations in their jurisdiction. Ideals makes no representation, warranty, or guarantee regarding the legal effect, recognition, or admissibility of the Simple Electronic Signature in any particular legal or regulatory context.
6. Security and Access Controls
All signature images and signed documents are protected using the same technical and organizational safeguards that apply to all content hosted within the VDR, including encryption in transit and at rest. Access to signature data and signed documents is controlled through the user permissions configured within the VDR by the client.
7. Retention and Deletion
Signed documents and associated Simple Electronic Signature data are retained within the VDR for the duration selected by the client, as permitted under the General Terms. Requests for deletion of signed documents or signature data will be processed in accordance with the General Terms.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws specified in the General Terms. Any disputes arising out of or in connection with the use of the Signature Feature shall be resolved in accordance with the dispute resolution procedures set forth in the General Terms.
