Why Ideals MCP matters

Until recently, using AI tools like Claude or ChatGPT on a deal meant exporting documents out of the data room. That helps get things done faster, but it breaks the security model VDRs are designed to provide and increases the chances of a costly data breach.

In the live session, Dina showed how a single prompt asks Claude to scan your data rooms, surface unanswered Q&A, flag empty folders or unread documents, and analyze user engagement, such as inactive users or most-viewed documents.

It means you can walk into your Monday status meeting with a structured update and a clean buyer engagement dashboard ready to drop into a status email.

Workflow 2: Reorganizing a data room

In the rush to kick-off a sell-side process, you likely have several people uploading documents to the data room. Within days you’ve got duplicate documents, miscategorized files, and folders that don’t reflect the deal structure.

A prompt sends Claude to analyze the data room, propose a clean category structure, and move the files into place. A second prompt sweeps for duplicates and quarantines them to a sandbox folder for review.

Workflow 3: Streamlining buyer Q&A

During a live deal you likely get hundreds of buyer questions posted in the VDR, each needing a thoughtful, accurate answer. This is the kind of work that absorbs a lot of analyst time.

Using the Ideals MCP, Claude pulls the open Q&A, drafts answers grounded in the data room’s content, and surfaces them in chat for review. 

Once the answers have been approved, a single prompt posts the responses back. This is a great example of how deal teams benefit from the speed and accuracy of AI tools, while ensuring there is a human providing final judgement.

Legal due diligence (LDD) is typically an intensive and time consuming process, taking months to complete and being prone to delays.

In the live session, Rick showed how Emma Legal massively reduces the time it takes to complete LDD by connecting directly to an Ideals data room. Instead of responding to user prompts, Emma uses pre-defined legal checks to analyze risks based on a buyer’s information request list.

In just a few clicks, Emma generates a full LDD report, with risks categorized by document type, every finding cited back to source, and color-coded by severity. 

Multiple AI models check each other’s work (up to seven cross-checks per finding) before a lawyer reviews anything.

For M&A advisors, this enables deeper diligence at much greater scale.
